Overview of AIDC Terms of Service

Members are external individuals or entities that publish data or datasets on the AI Data CO-OP platform. Purchasers (who can also be Members) purchase that data or datasets off the platform and receive commercial data licenses when they do so. Datasets and metadata on the datasets are maintained in a dashboard and in a dataset inventory which can be reported on and managed to keep all data governance and contract information while a Member or Publisher uses the platform. The contract called the "Software as a Service Terms and Conditions" from AIDC Inc., the company that runs a platform called the AI Data CO-OP controls this process. Here's a simple summary, explaining what the contract is about in plain English:
What is this contract?
- It's an agreement between AIDC Inc. (the company) and a Member (a person or business) who wants to use AIDC's platform to share or sell their data.
- By signing up or using the platform, the Member agrees to follow these rules.
What does AIDC's platform do?
- The AI Data CO-OP lets Members upload information about their data (called "Member Datasets") so others can license it.
- The company doesn't store the actual data unless the Member pays for a special hosting service.
How does it work?
- Members create an account and describe their data accurately.
- They can set a price for their data or let others bid on it.
- When someone buys or licenses the data, AIDC takes a fee (called a "Commission") and sends the rest of the money to the Member.
Member responsibilities
- Members must provide true and accurate information about their data.
- They can't share their account or use the platform to do anything illegal and must comply with the Code of Conduct.
- They're responsible for keeping their own data safe and backed up.
AIDC's responsibilities
- AIDC provides the platform and strives to keep it working smoothly.
- They protect the Member's information with reasonable security measures.
Fees and payments
- Members might pay fees for extra services, like hosting data, data conversion or setting prices.
- Payments for data sales go through Stripe, and AIDC takes its share automatically.
- If a Member doesn't pay what they owe, AIDC can pause their account.
How long does the contract last?
- It starts when the Member signs up and lasts for 3 years, then renews yearly unless someone cancels.
- Either side can end it after the first 3 years with 90 days' notice, or sooner if someone breaks the rules.
What happens if something goes wrong?
- If the platform causes problems, AIDC will defend the Member in court.
- If the Member's data causes issues, they must defend AIDC.
- Neither side is responsible for big losses (like lost profits) unless it's about breaking the law or the contract on purpose.
Other important rules
- Members can't copy or mess with AIDC's software.
- Both sides must keep private information secret.
- The contract follows Colorado laws, and any lawsuits happen in Denver.
- For 3 years, Members can only use AIDC to sell their data, not other platforms.
Hosting data (optional)
- If a Member wants AIDC to store their data, they pay a hosting fee based on how much storage they need.
- AIDC keeps the data safe but won't store sensitive stuff (like health info) without permission.
- If the hosting agreement ends, AIDC deletes the data after 30 days unless the Member asks for it back.
This contract makes sure everyone knows their responsibilities and keeps the platform fair and safe for sharing data.
